Chapter 5 - VANESSA THOUGHT SHE WAS BECOMING AN OWNER

Vanessa called me directly.
I nearly blocked the number.
Then I answered.
“Mrs. Carter.”
“Margaret.”
She hesitated.
“I need to explain something.”
“No. You need to answer questions.”
Silence.
I surprised myself.
Grief had stripped away the part of me that used politeness to delay conflict.
“Did Ethan promise you Carter Restoration shares?”
Another silence.
“Yes.”
“How many?”
“Twenty percent.”
I almost laughed.
“He didn’t own twenty percent.”
“He said after Emily’s estate settled—”
“He still wouldn’t necessarily own twenty percent.”
“He said he would control her interest.”
There it was.
The same lie from the funeral.
Ethan had told Vanessa he would inherit practical control over Emily’s forty-eight percent.
Then he promised her part of it.
“Why?”
Vanessa’s voice hardened.
“Because I was helping build the new company.”
“What new company?”
She stopped.
I wrote the words down.
“Vanessa.”
“Hawthorne wanted a design subsidiary.”
“What does that have to do with you?”
“Ethan said after the acquisition I would lead it.”
Now the payments made more sense.
Vanessa had not only been Ethan’s mistress.
She had been preparing for a post-sale executive role.
She believed the sale was inevitable.
I asked:
“When did your relationship with Ethan become romantic?”
“Eleven months ago.”
Emily had been diagnosed thirteen months ago.
I closed my eyes.
“Did Emily know?”
“Yes.”
That surprised me.
“When?”
“About seven months ago.”
“Did she confront you?”
“Yes.”
“What did she say?”
Vanessa’s voice changed.
“She told me Ethan promised things he didn’t own.”
Exactly.
My daughter had already said it.
“What did you think she meant?”
“I thought she was angry.”
“Were you still seeing him?”
“Yes.”
No excuse.
I almost respected the honesty.
Then Vanessa said:
“Emily also told me Ethan was lying to me about the company.”
“And you stayed?”
“I thought she was trying to scare me.”
“Why?”
“Because she hated me.”
I wanted to tell her Emily had every right.
Instead:
“She may have hated you and still told you the truth.”
Vanessa didn’t answer.
Michael later obtained copies of some of Vanessa’s consulting records through company counsel.
There was more legitimate work than I expected.
She had actually built brand presentations, market analyses, and design-division plans.
She was not simply receiving fake checks because she was sleeping with Ethan.
That complicated things.
Vanessa had done work.
She had also performed that work for a transaction the controlling shareholder rejected.
Then Susan found an agreement draft.
Hawthorne acquisition structure:
Hawthorne: 55%.
Continuing Carter shareholders: 25%.
Management incentive pool: 20%.
Proposed management participants included:
Ethan Caldwell.
Vanessa Cole.
Not Emily.
Not me.
Not the employee trust.
Vanessa had spent a year helping design a company where Emily’s family business continued without Emily’s family controlling it.
The affair was ugly.
The ownership plan was something else.
Then Michael noticed the draft date.
Fourteen months earlier.
Before Ethan and Vanessa claimed their affair began.
Before Emily’s diagnosis was public inside the company.
